End User Licence Agreement

Last updated: 6 September 2026

Please read this Agreement before you start the trial or use the software. By clicking “I have read and agree” in the application you accept it. If you do not agree, do not use the software.

This page reproduces the English-language version of the Agreement presented in the application, published here so you can read it before purchasing. The application also offers German, Spanish and French versions; whichever language you selected when you accepted it in the application is the version you accepted, and each language version stands on its own (Section 15.4).

1. Who You Are Contracting With

1.1 This Agreement is between you and Mauricio Wells, sole proprietor (Einzelunternehmen) trading as “Tradelics”, Hollerstr. 6, 80995 Munich, Germany (“Tradelics”, “we”). Contact for everything — support, defects, refund requests and data protection: support@tradelics.com. Website: tradelics.com.

1.2 This Agreement governs your USE of the software. It does not govern the purchase transaction. The purchase transaction for a licence is sold through Link, LLC (formerly Lemon Squeezy LLC), trading as “Lemon Squeezy”, as authorised reseller and merchant of record. Lemon Squeezy is responsible for the purchase transaction, including payment, invoicing, taxes and statutory withdrawal or refund obligations that apply to the seller. The software licence itself is granted by Tradelics under this Agreement. Tradelics provides product support and may coordinate defect and refund requests with Lemon Squeezy so that you have a single contact. This Agreement is published at tradelics.com so that you can read it before purchasing.

This allocation does not exclude Tradelics’ own obligations under this Agreement or any responsibility imposed on Tradelics by mandatory law. It does not make Tradelics the merchant of record or transfer or waive the seller’s purchase obligations.

1.3 Microsoft does not sell Tradelics and is not a party to this Agreement. The Microsoft Store only distributes the software and delivers updates.

1.4 “Consumer” means a natural person entering into a legal transaction for purposes predominantly outside their trade, business or self-employed professional activity (Section 13 BGB). “Business User” means a natural person, legal person or partnership with legal capacity acting in the exercise of their trade, business or self-employed professional activity (Section 14 BGB). Trading for your own account does not by itself determine your status. Mandatory consumer definitions under the law applicable under Section 15.1 remain unaffected.

2. What the Software Is — and Is Not

2.1 Tradelics is a desktop trading journal and analytics application for Windows. It records trades, imports them from broker exports or broker connections, stores them in journal files on your own computer, and calculates performance statistics from them.

2.2 Tradelics is NOT a broker and NOT a trading platform. It never places, modifies or closes a trade and does not connect to any market on your behalf. Broker connections are used only to read data.

The software is intended for recording and analysing trading activity. It is not intended for automated trading, real-time execution control, or monitoring margin, liquidation thresholds or trading limits in place of your broker’s systems.

2.3 Tradelics gives NO financial, investment, trading or tax advice. Figures, statistics and charts are for information and analysis. You make your trading decisions independently. Do not use the software’s output as the sole basis for placing, sizing, changing or closing a trade. Tradelics does not undertake to achieve a profit, prevent a loss or ensure any tax outcome. Liability for defects and breaches of duty is governed by Sections 9 and 10.

2.4 Tradelics is NOT an authoritative record. Calculated figures (profit and loss, fees, balances, drawdown, currency conversions) can be incomplete or wrong because of a defect, an import mapping mistake, a gap in broker data or a stale exchange rate. Currency conversion uses published reference rates from central banks and commercial providers, cached locally and resolved at each trade’s close date from the most recent rate within a short look-back period; trades with no resolvable rate are flagged. The sources in use are listed in the documentation. Check anything that matters against your broker’s own statements, and use your broker’s or your tax adviser’s figures for any filing.

Check imported account assignments, currencies, quantities, timestamps and fees, and investigate discrepancies before relying on the results. If a material discrepancy is apparent, do not rely on the affected output until it has been checked against the original records. These precautions do not waive the agreed functionality or statutory conformity requirements and do not make defective calculations contractually acceptable.

2.5 Supported brokers, platforms, operating systems and interface languages are those identified as supported at tradelics.com for the relevant version when you acquire the corresponding entitlement. Tradelics may add support. Changes to existing support are subject to the grounds and safeguards in Section 6.4; changing the website alone does not remove an existing contractual entitlement. Compatibility with unlisted systems or services is not promised. Your statutory rights remain unaffected.

3. Licence

3.1 Grant and eligible licensees. Tradelics offers one licence type. It may be acquired by Consumers and Business Users. The licence grant and technical use limits are the same for both; statutory rights and any provisions expressly tied to Consumer or Business User status may differ.

On purchase of a licence key, Tradelics grants you a perpetual, non-exclusive licence, transferable only as set out in Section 3.3, to install and use the software on ONE computer at a time for your own trading activity, including professional or commercial trading for your own account.

If you are a natural person, the licence may be used by you. If you are not a natural person, you must designate ONE natural person at a time as the authorised user (“Authorised User”). The Authorised User may use the software internally for your own trading activity. You must ensure that the Authorised User complies with Sections 3.1 to 3.5; for purposes of those Sections, use by the Authorised User is treated as use by you. A licence may not be used simultaneously by several users or treated as a shared, concurrent or pooled company licence.

During the free trial (Section 4), the same licence and eligibility conditions apply, limited to the trial period.

3.2 Devices and Authorised User. You may move the licence between computers you own or control using the built-in transfer function (Section 5.3). If you are not a natural person, this includes a computer made available or authorised by you for use by your Authorised User. The limit is on simultaneous use, not on which permitted computer you choose.

If you are not a natural person, you may replace your Authorised User, provided that the previous Authorised User stops using the software and the licence is not used by more than one Authorised User at a time. Changing the Authorised User in this way is not a transfer of the licence under Section 3.3. The licence may not be routinely rotated among several persons to avoid acquiring additional licences.

3.3 Passing the licence to another person. The licence is granted to the specific licensee and may not be lent, rented or shared, except for use by an Authorised User as permitted by Sections 3.1 and 3.2. Mandatory rights to resell a software copy or transfer the associated right of use remain unaffected. Where such a transfer is permitted, it must be permanent and cover the entire transferred entitlement. You must stop using it and delete or render unusable all copies you retain, including backup copies. The licence may not be split to allow simultaneous use by several people.

Pass on the licence key and applicable notices, and notify support@tradelics.com so the key can be reassigned. Tradelics may request reasonable evidence of the lawful acquisition and cessation of the previous holder’s use. The recipient must be informed of the applicable use restrictions; mandatory rights of a lawful acquirer are not made dependent on accepting additional restrictions or obtaining discretionary approval from Tradelics.

3.4 You may not: (a) use the software to provide access to the software or trading-journal, analytics, trade-management or similar services to a person or entity other than the licensee, or use it for that third party’s trading activity; use by an Authorised User internally for the licensee’s own trading activity is permitted; (b) copy, distribute, sublicense, rent, resell or share the software, its installer or your licence key, except as permitted by Sections 3.1, 3.2, 3.3 and 3.5; (c) circumvent or disable the licence, trial or activation mechanisms; (d) reproduce or use Tradelics’ protected source code, non-public technical material, documentation, interface assets or trade marks to create or distribute an infringing product — this does not restrict lawful independent development or the rights in Section 3.5; (e) remove any copyright, trade mark or third-party notice.

These restrictions do not prohibit installation copies or a backup copy necessary for your authorised use, internal use by an Authorised User as permitted by Sections 3.1 and 3.2, or any act permitted by mandatory law. The restriction to one computer and, where applicable, one Authorised User at a time remains applicable.

3.5 Reverse engineering. Rights that cannot be excluded by agreement under Sections 69d and 69e of the German Copyright Act (UrhG) remain unaffected. In particular, this includes a necessary backup copy under Section 69d(2), observing, studying and testing the program within Section 69d(3), and decompilation only to the extent and under the conditions of Section 69e where necessary for interoperability. Subject to those rights, Section 14 and any other mandatory law, reverse engineering, decompilation or disassembly is prohibited.

3.6 Ownership. Tradelics retains all rights in the software that are not expressly granted in this Agreement. Tradelics® is a registered European Union trade mark (EUIPO No. 019354433). Tradelics claims no rights in your journals, trades, notes, screenshots or any other content you create with the software.

4. Free Trial

4.1 You may use the full software free of charge for 14 days from the day you start the trial. No account, e-mail address or payment details are needed. An internet connection is required to start the trial; afterwards it validates offline like a paid licence.

4.2 One trial per device. The trial is bound to the computer. Reinstalling the software, or Windows, does not grant a new trial. For this purpose the software processes device identifiers (Section 8.3).

4.3 When the trial ends the software stops working and shows the activation screen. Nothing is deleted: your journal files stay on your computer and become fully usable again once a licence key is entered. The trial never converts into a purchase automatically.

5. Activation and Internet Requirement

This section describes a technical protection measure that decides whether the software runs. Please read it before purchasing.

5.1 How activation works. You enter your licence key. The software sends the key, the device identifiers described in Section 8.3 and the application version to the Tradelics licence server. It receives a signed licence record, stored on your computer as proof of entitlement. Day-to-day licence checks take place locally and do not require a connection at every start. Once a day, when a connection is available, the software automatically renews the record. Offline use is subject to Section 5.2; online functions such as broker synchronisation require their respective connections.

5.2 If the licence service cannot be reached. For an activated paid licence, the software’s normal local functionality remains available for 30 days after the last successful activation or renewal of the licence record if the licence service cannot be reached. Functions requiring a broker or another online service still depend on that connection. After the 30 days, the software continues to open in read-only mode: you can view your existing journals, statistics and charts and export your data, but cannot import or synchronise trades or change entries. Normal functionality returns automatically when the service can be reached again and confirms a valid licence.

The lack of a connection to the licence service and the transition to read-only mode do not delete your journal files, regardless of the duration of the interruption. These statements describe the licensing mechanism; they do not promise that files cannot be damaged by a separate software defect, device failure or other cause. Sections 7, 9 and 10 apply to those events.

Read-only mode applies to an unreachable licence service. If the service is reached and your licence is suspended under Section 5.4, terminated under Section 12.2 or deactivated under Section 11.3, the software instead shows the activation screen. The free trial still ends after 14 days under Section 4; this Section does not extend it. Initial activation and activation on a new computer require access to the licence service.

5.3 Device transfer. Enter your key on the new computer. If the key is active elsewhere, the software offers a transfer and asks you to confirm it; the new computer is then activated and the old one loses its activation.

5.4 Suspension for suspected misuse. Tradelics may temporarily suspend an activation if there are specific and objectively understandable indications of key theft, fraud, unlawful redistribution or circumvention of the licence, trial or activation mechanisms. The suspension must be proportionate in the individual case and last no longer than reasonably necessary to investigate the suspicion.

Tradelics will inform you of the suspension and, unless this would jeopardise the investigation, its reason. Tradelics will review the grounds and restore access without undue delay when the suspicion proves unfounded or the grounds for suspension no longer exist. Statutory rights arising from an unjustified suspension remain unaffected. A suspension under this Section does not itself terminate the licence.

6. Updates

6.1 Two separate things. Your right to USE the software is perpetual (Section 3.1). Your entitlement to NEW FEATURES released after your purchase is limited in time (Section 6.3). The end of that window never affects your right to use what you already have.

6.2 Delivery. Updates are normally delivered through the Microsoft Store; automatic download and installation depend on the Store’s operation and your settings. Tradelics does not control the Store’s installation timing. Older versions are not generally offered. Tradelics may supply a build directly where the Store is unavailable to you. This delivery arrangement does not exclude Tradelics’ obligations to supply required updates or remedy defects.

6.3 Feature-update window. New features released during your window are included in your licence at no extra cost. The window is:

  • 12 months from the purchase date for a standard licence;
  • 24 months from the purchase date for a Launch Offer licence (the first 100 purchases).

Your window is recorded with your licence. The window governs eligibility only. Tradelics is not obliged to develop or release any particular feature, any number of features, any major version or any frequency of releases, and may release few or none.

6.4 What stays yours. The end of your feature-update window does not by itself remove features already included in your licence. Subject to mandatory law, Tradelics may modify or discontinue existing functionality where reasonably necessary because a third party changes, restricts or discontinues an interface or data source on which it depends; a change is required by law or regulation; a security issue requires a change; Windows or another supported technical environment changes; or a material maintenance, interoperability or reliability issue reasonably requires technical adaptation. Features released after your window are not included unless you obtain a current entitlement (Section 6.5).

Any such change must be limited to what the stated reason reasonably requires. The feature-update window is not a basis for moving already included functionality behind a new payment requirement. Where Section 327r BGB applies, a change beyond what is necessary to maintain conformity will be made only where its legal conditions are met, including a valid reason under this Section, no additional cost to the Consumer, clear information and, where required, advance information on a durable medium and the Consumer’s right to terminate. Statutory defect rights remain unaffected.

6.5 Update Pass. An optional, one-time Update Pass (currently €59 — see the Updates & Upgrades page for current pricing) includes all features released for the Windows desktop application up to its purchase date — including any released after your previous window closed — and starts or extends your feature window by 12 months from the later of its purchase date or the end of your existing window. Buy it at any time; you pay nothing for time in which no window was active. Nothing renews automatically and there is no subscription. The second paragraph of Section 6.3 applies to it.

6.6 Fixes. A correction to functionality already included in your licence is a fix, not a new feature. A fix that Tradelics makes generally available for such functionality does not require an Update Pass. This commercial rule does not by itself create an obligation to develop or release any particular fix, to maintain every older build or supported environment indefinitely, or to provide any particular release frequency. Contractual defect remedies and mandatory update duties remain governed by Section 9 and applicable law.

If you are a Consumer, Tradelics supplies the updates required by Section 327f BGB for the period you can reasonably expect given the nature and purpose of the software; the feature-update window is a commercial promise in addition to that and does not shorten it. Beyond that period no continuing maintenance is promised.

Install supplied security and corrective updates within a reasonable time. For Consumers, Tradelics is not responsible for a product defect caused solely by failure to install a supplied update only if the conditions of Section 327f(2) BGB are satisfied: you were informed of the update’s availability and the consequences of not installing it, and the failure or incorrect installation was not caused by deficient installation instructions. This does not require the purchase of an Update Pass for a correction or legally required update.

6.7 Scope. The feature window covers the Windows desktop application only. It does not include support of any particular level, and does not extend to a future macOS, Linux or mobile product, a cloud service, or any item carrying material recurring third-party costs such as paid market data or hosted AI features. Tradelics may release a substantially rebuilt product as a separate purchase; doing so does not remove or lock anything your existing licence already includes.

7. Your Data, Backups and Uninstalling

7.1 Journals stay on your computer. Journals, trades, notes, screenshots and account balances are stored in files on your own computer, by default in Documents\Tradelics or wherever you chose. The software does not transmit them to Tradelics, and Tradelics has no access to them, unless you yourself send a file to Tradelics, for example with a support request.

7.2 Backups. Keep reasonable, current backups of your journal folder on separate storage, outside the application’s data folder. Choose a frequency appropriate to the amount and importance of your entries. Before a manual update, a major import, device transfer or uninstallation, make a backup where reasonably practicable, and check periodically that your backups can be opened or restored. Keep original broker statements and export files where reasonably possible.

The effect of missing or inadequate backups on a damages claim is governed by Sections 10.3 and 10.7. A failure to back up does not automatically remove all claims. This Section neither expands nor excludes Tradelics’ liability, which is governed by Sections 9 and 10.

7.3 Uninstalling may remove the activation and saved credentials. Settings, logs, the licence record and saved broker credentials are stored in an application-data location managed by Windows. Depending on how Windows handles that location, uninstalling the software may delete it. After reinstalling you may therefore need to activate again and re-enter broker credentials. Journal files stored outside that application-data location, including the default Documents\Tradelics folder, are not intended to be removed by Tradelics’ uninstallation process. Nevertheless, make a backup before uninstalling as described in Section 7.2.

7.4 At the date of this revision, broker credentials are stored on your device encrypted with AES-256, and the encryption key is held in Windows protected storage (DPAPI). They are not transmitted to Tradelics.

Protect access to your Windows account, licence key and broker credentials. Use read-only broker permissions where the broker supports them, and do not grant trading or withdrawal permissions for use with Tradelics. Encryption is a protective measure, not a promise of protection against every attack or a compromised device. Tradelics’ agreed security features and statutory security obligations remain unaffected.

8. Data Protection

8.1 Controller: Mauricio Wells (Section 1.1). The Privacy Policy describes how Tradelics processes personal data: each connection, its purpose, legal basis, recipients, retention period and your rights. Accepting this Agreement is not consent to any processing; where consent is needed for an optional purpose, it is requested separately.

8.2 No telemetry. This version contains no feature-usage tracking, product analytics or automatic crash reporting. Logs are written locally and reach Tradelics only if you attach one to a support request. The licence server does record the application version reported at activation and revalidation, used for support and to know which versions are in use.

8.3 Identifiers. The software generates a random device identifier at first start and reads the Windows MachineGuid. They are used solely to bind a licence or trial to your computer, to prevent repeat trials on the same computer, and to enable device transfers.

8.4 Connections. At the date of this revision the software connects for licence activation and revalidation, trial start, version checking, device transfer, exchange-rate lookups and synchronisation with brokers you have configured. Activation and revalidation transmit your licence key, the identifiers in Section 8.3 and the application version. The Privacy Policy provides the detailed information about processing, recipients, legal bases and retention periods.

Updating the Privacy Policy does not by itself amend this Agreement, remove the commitments in Sections 7 and 8 or provide consent or another legal basis for additional processing. Changes to contractual commitments are governed by Section 13, and processing must comply with applicable data-protection law. Windows, the Microsoft Store and your brokers’ own software generate their own traffic, which Tradelics does not control.

8.5 E-mail address. Not needed for the trial. A purchase requires one: Lemon Squeezy needs it to complete the sale, and it is where your licence key and device-transfer confirmations are sent.

9. Defects and Your Statutory Rights

9.1 If you are a Consumer, your mandatory rights concerning digital products, including those under Sections 327 et seq. BGB where applicable, remain unaffected. The statutory limitation periods, including Section 327j BGB, apply. These include rights to a remedy and, where the legal conditions are met, a price reduction or termination and reimbursement. Damages are governed by Section 10 within the limits permitted by law. Your statutory rights against the seller (Section 1.2) are not replaced by a voluntary support or refund arrangement.

9.2 Report defects to support@tradelics.com and, where reasonably possible, provide the application version and the steps to reproduce the problem. These details help investigation; they are not a condition for exercising mandatory defect rights. Do not send passwords, API secrets or unneeded personal or financial information. Where possible, use an anonymised example or a copy of the affected file and keep your original.

General assistance beyond contractual and statutory obligations is offered by e-mail on a voluntary basis, without a promised response time or service level. Mandatory defect handling and applicable duties to remedy within a reasonable time remain unaffected; a required remedy is not merely voluntary support.

9.3 If you are a Business User, defect claims against Tradelics become time-barred one year after provision of the software, except for claims under Section 10.1 and claims subject to a mandatory longer period or mandatory rules on the start, suspension or extension of limitation. For a remedy owed by Tradelics, Tradelics may choose between correction and replacement; other remedies remain available when their legal conditions are met. This provision does not amend the seller’s separate purchase contract.

9.4 Beyond the contractual and statutory conformity requirements, Tradelics gives no guarantee. In particular, the software is not guaranteed to be entirely error-free, to achieve any trading result, or to remain compatible with an operating system or third-party service that was not listed as supported for the version you are using (Section 2.5). Mandatory rights remain unaffected.

10. Liability

10.1 Unlimited liability and guarantees. Tradelics is liable without limitation for damage caused intentionally or by gross negligence, for culpably caused injury to life, body or health, for fraudulently concealed defects and under the German Product Liability Act where applicable. Where Tradelics has expressly assumed a guarantee in the legal sense (Garantie), liability is determined by its scope.

Nothing in this Agreement constitutes an independent guarantee or an assumption of liability regardless of fault unless expressly designated as such. Rights arising from a failure to meet contractually agreed or legally required characteristics remain unaffected. The refund promise in Section 11.1 remains binding on its stated terms; it is not a guarantee of software quality or trading results.

10.2 Slight negligence. Except in the cases covered by Section 10.1, Tradelics is liable for slight negligence only for breach of a material contractual obligation. This means an obligation whose fulfilment enables the proper performance of this Agreement and on whose fulfilment you may regularly rely. In that case liability is limited to damage typical of this type of contract and foreseeable when the Agreement was concluded. Liability for slightly negligent breach of other contractual obligations is excluded. Section 10.8 remains applicable.

10.3 Data loss. Within the scope of Section 10.2, compensation for data loss is limited to the reasonable cost of restoring the data from an appropriate, current backup, to the extent the additional loss would have been avoided by reasonable backups under Section 7.2. This limitation does not apply where the loss would also have occurred with such backups or Tradelics was responsible for preventing the backup or damaging it. Section 10.7 governs the assessment of contributory fault. Liability under Section 10.1 and mandatory liability under Section 10.8 remain unaffected.

10.4 Trading decisions and financial results. Tradelics does not assume the market risk of your trading decisions or promise any financial outcome. Trading losses, lost profits, lost business opportunities, tax consequences and other financial results do not in themselves establish liability merely because you used the software or consulted its output.

If such damage is caused by a software defect or another breach of duty for which Tradelics is responsible, liability is governed by Sections 10.1 and 10.2, subject to Section 10.8. Reliance on affected output contrary to the checks and warnings in Section 2 may be taken into account under Section 10.7. This Section does not categorically exclude liability for financial damage caused by Tradelics’ own breach.

10.5 Third parties and external services. Subject to Sections 10.1, 10.2 and 10.8, Tradelics is not liable for disruptions, delays or failures caused solely by brokers, trading platforms, exchange-rate providers, the Microsoft Store, Lemon Squeezy, internet providers or other third parties outside Tradelics’ reasonable control.

This exclusion does not apply to the extent Tradelics itself culpably caused or contributed to the damage. Responsibility for persons or services used to perform Tradelics’ own obligations remains governed by applicable law; naming a provider as a third party does not by itself exclude that responsibility.

10.6 User inputs and configuration. Subject to Sections 10.1, 10.2 and 10.8, Tradelics is not liable for damage caused solely by your incorrect, incomplete or wrongly assigned input or imported data, faulty broker configuration or use outside the intended purpose. This exclusion does not apply to the extent a software defect, deficient instructions or another breach for which Tradelics is responsible caused or contributed to the damage. Where both parties contributed, Section 10.7 applies.

10.7 Cooperation and mitigation. Take reasonable measures to avoid or reduce damage, including the checks in Section 2, backups under Section 7.2 and reasonable protection of access credentials. If you discover a material error or security issue, notify Tradelics as soon as reasonably practicable and avoid continued use of the affected function where doing so would foreseeably increase the damage and stopping is reasonable.

Any culpable failure to take reasonable precautions is assessed under the statutory rules on contributory fault and mitigation, including Section 254 BGB. It does not automatically extinguish all claims. Statutory burdens of proof are not changed by this Agreement.

10.8 Scope and mandatory exceptions. The above liability rules apply to contractual and non-contractual damages claims to the extent permitted by law. To the extent they limit or exclude Tradelics’ liability, they also benefit its legal representatives, employees and persons engaged to perform its obligations, including contractors.

The limitations do not apply where prohibited by mandatory law, including to the extent they would impermissibly restrict liability under Article 82 GDPR. They do not remove rights to performance, remedy, price reduction, termination or reimbursement that remain available under this Agreement or mandatory law. A guarantee under Section 10.1 is governed by its terms. These rules apply to Consumers and Business Users subject to their respective mandatory protections.

11. Refunds and Right of Withdrawal

11.1 30-day money-back promise (voluntary). If you are not satisfied, you may request a full refund of the main licence within 30 days of the purchase date, for any reason, by e-mailing support@tradelics.com. Tradelics raises the refund through Lemon Squeezy; you do not need to contact Lemon Squeezy yourself. The 30 days run from purchase, not from activation. It does not cover the Update Pass. See our Refund Policy for how to request one.

11.2 Statutory right of withdrawal. If you are a Consumer in the EU/EEA, the statutory right to withdraw from an eligible distance purchase applies against the seller, Lemon Squeezy. The ordinary period is 14 days; its start, any extension and any early expiry are governed by applicable law and the seller’s required information. It exists independently of the promise in Section 11.1, including for an Update Pass where legally applicable.

For paid digital content not supplied on a tangible medium, early expiry under German law requires that performance has begun, that you expressly consented to its beginning before the withdrawal period ended, that you acknowledged losing the right when performance begins, and that the seller provided the confirmation required by Section 312f BGB. Accepting this licence Agreement alone does not satisfy those separate requirements. Mandatory rights are not shortened or waived by this Agreement.

11.3 Consequences of a refund or withdrawal. Where the main licence purchase is fully reversed through a refund, statutory withdrawal or termination or rescission of the purchase contract, the associated licence key is permanently deactivated and you must stop using that licence and delete its software copies. Your journal files remain yours and are not deleted by licence deactivation. The activation screen may prevent access through the software; where reasonably possible, export needed data before requesting a voluntary reversal. Mandatory rights concerning access to or provision of content remain unaffected.

A price reduction, partial refund or reversal solely of an Update Pass does not by itself cancel the main licence. Only the entitlements attributable to the reversed purchase are removed, subject to the applicable agreement and statutory rights; entitlements from unaffected purchases remain.

12. Term and Termination

12.1 The paid licence is perpetual: it does not expire merely through passage of time or the end of a feature-update window, and is not a subscription. This is subject to transfer under Section 3.3, reversal under Section 11.3 and termination under Section 12.2. The free trial is limited by Section 4. A perpetual licence describes the duration of the right of use; it does not itself promise indefinite new features, maintenance, compatibility with future systems or uninterrupted availability of online functions. The licence-service and offline-use mechanism is governed by Section 5, and updates by Section 6. Mandatory rights remain unaffected.

12.2 Tradelics may terminate the licence, after warning and a reasonable period to remedy where a remedy is possible, if you materially breach the licence or use restrictions in Sections 3.1 to 3.5 or obtained the key by fraud. Section 5.4 applies to temporary suspension.

12.3 On termination you must stop using the software and delete all copies. Your journal files are unaffected.

13. Changes to This Agreement

13.1 Tradelics may issue a revised Agreement for future purchases, separately purchased items and optional new services. The software shows you a new revision and asks whether you agree.

13.2 A revised Agreement does not apply retroactively. It changes an existing licence only with your agreement, and refusing revised terms does not prevent continued use under the terms already accepted. Using the software or installing a required correction does not by itself signify acceptance of revised terms. Mandatory legal changes apply as required by law. Terms for a separately chosen optional purchase govern that purchase only, as set out in Section 13.3.

13.3 A separately purchased item (for example an Update Pass) may carry its own additional terms shown before purchase. Declining them means only that you do not obtain that item; it never reduces what your existing licence already covers.

14. Third-Party Components

The software includes open-source components, each under its own licence. The complete list, with the licence of each component and where its source code can be obtained, is in THIRD-PARTY-NOTICES.txt in the “licenses” folder installed with the software. For those components, their own licence terms take precedence over this Agreement: nothing in this Agreement, including Section 3.5, restricts the rights that those licences give you in respect of the component concerned.

14.1 Replaceable libraries. Some components are licensed under the GNU Lesser General Public Licence (LGPL). They are installed as separate files in the application folder of the software, and their source code is in the “licenses\source” folder installed with the software, so that they can be replaced. As far as the LGPL requires, you may modify those components and replace them with a modified version for your own use, and you may reverse engineer the software to the extent necessary to debug such modifications. This does not extend to any other part of the software, which remains subject to Section 3.5. To the extent mandatory law allows, Tradelics is not responsible for defects caused by a replaced component and may ask you to reproduce a problem with the original component first.

14.2 Source code on request. If the licence of a component requires Tradelics to provide its source code and that code is not included in the installation, Tradelics will provide it on request to support@tradelics.com, for at least three years after you last received the software containing that component, for no more than the cost of physically providing it (free of charge where it can be downloaded).

15. General

15.1 Governing law. This Agreement is governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a Consumer, this choice of law does not deprive you of any protection afforded by provisions that cannot be derogated from by agreement under the law that would apply in the absence of this choice.

15.2 Jurisdiction. For Consumers, the statutory jurisdiction rules apply. If you are a merchant (Kaufmann) within German commercial law, a legal entity under public law or a special fund under public law, Munich, Germany, is the exclusive place of jurisdiction insofar as such an agreement is legally permitted. Other users are subject to the statutory jurisdiction rules. Mandatory and exclusive jurisdiction rules remain unaffected.

15.3 Dispute resolution. Tradelics is neither obliged nor willing to take part in dispute-resolution proceedings before a consumer arbitration board (Section 36 VSBG).

15.4 Languages. This Agreement is provided in English, German, Spanish and French. The version in the language you selected in the software is the one you accept, and it stands on its own.

15.5 Severability. If any provision is or becomes invalid, the remainder of the Agreement stays in force. The invalid provision is replaced by the statutory rule.

15.6 Entire agreement and other documents. This Agreement and the third-party notices govern use of the software. The seller’s separate terms govern the purchase; this Agreement does not amend that contract. The Privacy Policy provides information required by data-protection law and is not an independent legal basis for processing or a mechanism for amending contractual commitments. Individual agreements made with you take precedence. Mandatory rights, legally relevant pre-contractual information and legally relevant public statements are not excluded by this Section.
