End User License Agreement

1. Parties & Acceptance

This End User License Agreement (“Agreement” or “EULA”) is a legally binding agreement between you (“User” or “you”) and Mauricio Wells, sole trader operating under the product name Tradelics (“Tradelics”, “we”, “us”, or “our”), regarding your use of the Tradelics desktop software and any associated documentation (collectively, the “Software”).

By downloading, installing, or using the Software, you confirm that you are at least 18 years old and agree to be bound by this Agreement. If you do not agree, you must not install or use the Software.

2. Grant of License

Subject to your compliance with this Agreement and receipt of a valid license key, Tradelics grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use one (1) copy of the Software on one (1) personal computer for your own personal or professional use.

The Software is currently available for Microsoft Windows. Support for macOS and Linux is planned for future releases and will be covered by this Agreement once available.

3. License Key & Activation

Access to the full functionality of the Software requires a valid license key obtained through an authorized purchase. The license key is personal and may only be used on one (1) device at a time.

To verify the validity of your license, the Software periodically connects to Tradelics servers during activation and at defined intervals thereafter. This verification process transmits your license key and technical device identifiers (such as a hardware fingerprint) to our servers. No personal data beyond what is necessary for license validation is collected through this process.

You agree not to:

  • share, sell, transfer, or sublicense your license key to any third party
  • use a single license key on more than one device simultaneously
  • attempt to bypass, circumvent, or disable the license validation mechanism
  • use license keys that were not obtained through an authorized purchase

Violation of these restrictions will result in immediate termination of your license without refund.

4. Restrictions

Except as expressly permitted by this Agreement or applicable law, you may not:

  • copy, modify, adapt, translate, or create derivative works of the Software
  • reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Software
  • remove, alter, or obscure any proprietary notices, labels, or marks on the Software
  • use the Software for any unlawful purpose or in violation of applicable laws or regulations
  • rent, lease, lend, sell, redistribute, or sublicense the Software
  • use the Software to develop a competing product or service

5. Ownership & Intellectual Property

The Software, including all content, code, graphics, user interface elements, and documentation, is and remains the exclusive property of Tradelics (Mauricio Wells) and its licensors. This Agreement does not transfer any ownership rights to you. All rights not expressly granted herein are reserved by Tradelics.

Tradelics® is a registered European Union trade mark (EUTM No. 019354433, registered with the EUIPO).

6. One-Time Purchase & No Subscription

The Software is sold under a perpetual license model. A single purchase grants you the right to use the Software indefinitely, subject to the terms of this Agreement. This license does not expire and is not a subscription.

Your purchase includes a defined period of feature updates at no additional cost — 5 years for a Launch Offer purchase, or 12 months for a standard purchase, each measured from your purchase date. Any feature made available to you during that period remains available to you permanently, including after that period ends.

After your included update period ends, previously licensed functionality remains usable; we will not intentionally disable or remove features you already have solely because that period has expired. You may optionally purchase a separate 12-Month Update Pass to receive features released after your included period — this is a one-time purchase, is never billed automatically, and begins a new 12-month update period from the date of that purchase. Security, reliability, data-integrity, and corrective maintenance for the supported version of the Software remain available regardless of update-pass status. 7. Data Protection & Privacy

Tradelics is committed to protecting your privacy. The only data transmitted to our servers is the information strictly necessary for license validation as described in Section 3. This may include your license key and an anonymized device identifier.

We do not collect, store, or process any trading data, financial information, or personal usage data from within the Software. For full details on how we handle data, please refer to our Privacy Policy.

Data processing is carried out in accordance with the EU General Data Protection Regulation (GDPR) and the German Federal Data Protection Act (BDSG). The data controller responsible for your personal data is Mauricio Wells, Hollerstr. 6, 80995 München, Germany. You have the right to access, rectify, and delete any personal data we hold about you by contacting us at the address in Section 16.

8. Kleinunternehmer Notice

Tradelics is operated by Mauricio Wells as a registered sole trader (Kleinunternehmer) in Germany. In accordance with Section 19 of the German VAT Act (Umsatzsteuergesetz), no VAT is charged on sales. Accordingly, no VAT will be shown on invoices or receipts issued by Tradelics.

9. Future Online Features

Tradelics plans to introduce optional online features in future versions, including an online trading journal. Such features, if and when made available, will be governed by supplementary terms that will be presented to you at the time of their introduction. Use of those features will be entirely optional and will not affect your existing license to use the core Software.

10. Disclaimer of Warranties

The Software is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Tradelics does not warrant that the Software will be error-free, uninterrupted, or free of bugs or defects. The Software is a tool for tracking and analyzing trading data and does not constitute financial or investment advice. You are solely responsible for any trading or investment decisions you make.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Tradelics shall not be liable for:

  • any financial losses, trading losses, or lost profits arising from your use of or reliance on the Software
  • loss or corruption of data
  • any indirect, incidental, special, consequential, or punitive damages
  • damages arising from inability to use the Software due to technical failures or license server downtime

Where liability cannot be fully excluded under mandatory German law (e.g. in cases of gross negligence or willful misconduct), liability shall be limited to the extent permitted by applicable law.

12. Termination

This Agreement is effective from the date you first install or use the Software and continues until terminated. Tradelics may terminate this Agreement immediately and without notice if you breach any of its terms. Upon termination, you must cease all use of the Software and delete all copies in your possession.

Termination does not entitle you to a refund unless required by applicable consumer protection law.

13. Changes to This Agreement

Tradelics reserves the right to modify this Agreement at any time. Material changes will be communicated via our website or within the Software at least 14 days before they take effect. Continued use of the Software after the effective date of changes constitutes your acceptance of the revised Agreement.

If you do not agree to the revised Agreement, you must cease using the Software before the changes take effect.

14. Governing Law & Jurisdiction

This Agreement is governed by the laws of the Federal Republic of Germany, excluding its conflict of law provisions. The application of the UN Convention on Contracts for the International Sale of Goods (CISG) is excluded.

The exclusive place of jurisdiction for all disputes arising out of or in connection with this Agreement shall be Munich, Germany, to the extent permitted by applicable law. Consumers residing in the EU may also bring claims before the courts of their country of domicile.

15. Severability & Entire Agreement

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a valid one that most closely reflects the original intent.

This Agreement constitutes the entire agreement between you and Tradelics regarding the Software and supersedes all prior agreements or understandings relating to the same subject matter.
